Terms of service

These Terms of Service set out the terms and conditions upon which you may use the service made available by truval.dev through truval.dev.

By signing up to or using the truval.dev Service, you agree to and accept these Terms of Service. Please read these Terms of Service carefully and make sure you understand and agree to them before using the truval.dev Service. Information about Truval

Truval operates out of Matosinhos, Portugal. For all legal and privacy inquiries, contact us at [email protected].

Truval provides API-first infrastructure and software development kits (SDKs) designed for AI agents and developer workflows, including email verification and related machine-actionable data processing services.

Interpretation

In these Terms of Service, save where the context requires otherwise, the following words and expressions have the following meaning:

  • "Account" means the Customer's account on the truval.dev Service;
  • "Agreement" means the agreement between the Customer and truval.dev for the provision of the truval.dev Service comprising these Terms of Service and any terms in the truval.dev Service Plan;
  • "AI" means machine-based software or a machine-based system that operates with varying autonomy, can adapt after deployment, and uses input to infer how to produce outputs;
  • "Billing Period" means the billing period for the Service Fees as set out in the applicable truval.dev Service Plan;
  • "Cloud truval.dev Platform" means the truval.dev Service made available to the Customer as a cloud-based service, including the APIs, MCP servers, SDKs, and other cloud-based services made available by truval.dev from time to time (which may be accessed through the Website, programmatic interfaces, or other channels truval.dev makes available);
  • "Commencement Date" means the date the Customer creates an Account;
  • "Confidential Information" means information which is identified as confidential or proprietary by either party or by the nature of which is clearly confidential or proprietary;
  • "Customer" means the person or organisation identified as the "Customer" in the Account;
  • "Customer Data" means any content, data, information, or materials transferred to truval.dev or otherwise processed by the Customer using the truval.dev Platform for the purpose of the Customer's and its Users' use of the truval.dev Service, including without limitation email addresses and other data submitted to the email verification, management, and related APIs;
  • "Data Processing Agreement" means the additional agreement relating to the processing of Relevant Personal Data in connection with the truval.dev Service set out on the Website and available here: Data Processing Agreement;
  • "Data Protection Laws" means any and all applicable law relating to the protection of personal data and privacy in force from time to time, including (i) the General Data Protection Regulation ((EU) 2016/679) (the "GDPR"); (ii) the Privacy and Electronic Communications Directive 2002/58/EC (as updated by Directive 2009/136/EC) and, (iii) any other applicable data protection or privacy laws. Terms such as "controller", "personal data", "data protection impact assessment", "data subject", "process/processing" and "processor" shall have the same meaning ascribed to them in Data Protection Laws;
  • "Initial Term" means the subscription period set out in the applicable truval.dev Service Plan, or in the absence of any such period in the truval.dev Service Plan, the period of one (1) month, in each case commencing on the Commencement Date;
  • "Intellectual Property Rights" means copyright, database right, domain names, patents, registered and unregistered design rights, registered and unregistered trade marks (including, where applicable the Trade Marks) and all other industrial, commercial or intellectual property rights;
  • "Malware" means any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience (including all viruses, worms, trojan horses, spyware, logic bombs and similar files, scripts, agents, things or devices);
  • "Overage Fees" means the volume based charges (if any) set out in the applicable truval.dev Service Plan which are payable by the Customer where the Customer's and its User's use of the truval.dev Service exceeds the Use Allowance;
  • "Privacy Policy" means truval.dev's Privacy Policy;
  • "Relevant Personal Data" means the categories of personal data described in Annex 1 to the Data Processing Agreement;
  • "Renewal Term" means either the period of time described as such in the applicable truval.dev Service Plan, or in the absence of any such description, a period of time equal to the Initial Term, in each case commencing on the expiry of the Initial Term or the immediately preceding Renewal Term (as appropriate);
  • "Service Fees" means the fees (if any) payable in respect of the provision of the truval.dev Service, according to the applicable truval.dev Service Plan;
  • "Sign Up Process" means the process (whether electronic or otherwise) by which the Customer signs up to use the truval.dev Service and, which amongst other things, identifies the Customer and the applicable truval.dev Service Plan;
  • "Term" means the Initial Term and successive Renewal Terms;
  • "Terms of Service" means these terms and conditions of service as amended from time to time;
  • "truval.dev Platform" means the Cloud truval.dev Platform, in the form made available by truval.dev from time to time;
  • "truval.dev Service" means access to the API, MCP, SDK, and related capabilities truval.dev makes available through the Cloud truval.dev Platform;
  • "truval.dev Service Plan" means the service plan relating to the truval.dev Service which (amongst other things) sets out the applicable Service Fees, Usage Limits, and Term, and which shall be (i) available on the Website from time to time, or (ii) as agreed with the Customer in such form as truval.dev may require;
  • "Use Allowance" means the limitations on the permitted use of the truval.dev Service by the Customer and its Users set out in the applicable truval.dev Service Plan;
  • "User" means any person authorised by the Customer to access the truval.dev Service on behalf of the Customer; and
  • "Website" means https://truval.dev, https://dash.truval.dev, https://api.truval.dev, https://mcp.truval.dev, https://docs.truval.dev, and other subdomains of truval.dev used by truval.dev from time to time.

Creating an account

To use certain features and functionalities of the truval.dev Service, the Customer must first register and create an Account.

The Customer may create an Account using an email address and password where enabled, or by signing in with OAuth providers offered from time to time (including GitHub, GitLab, and Google).

If the Customer is a legal entity (rather than an individual), the individual creating the Account on the Customer's behalf must have the necessary authority, power and right to fully bind the Customer.

The Customer must promptly update the Customer's Account information in the event of any changes to this information.

truval.dev reserves the right to suspend or terminate the Customer's Account and access to the truval.dev Service if any information provided proves not to be accurate or current.

All Users of the truval.dev Service must be over the age of 18.

Duration

The Agreement shall start on the Commencement Date and continue for the Term unless terminated earlier.

Access to the truval.dev service

truval.dev grants the Customer a non-exclusive, non-transferable, personal and non sub-licensable licence to permit Users to use the truval.dev Service as permitted by the functionality of the truval.dev Service.

The Customer must treat any login details used to access the truval.dev Service or the Customer's Account as Confidential Information, and it must not disclose it to any third party (other than to Users).

In relation to Users, Customer shall procure that each User keeps secure and confidential any log-in details provided to them for the User's use of the truval.dev Service and shall not disclose such login details to any third party including any other Users.

The Customer shall procure that each of its Users has its own login details and will ensure that such login details are not shared.

truval.dev may disable any login details, at any time and at truval.dev's sole discretion, if a User or the Customer has failed to comply with any of the provisions of the Agreement.

The Customer is responsible for maintaining the confidentiality of login details for its Account and any activities that occur under its Account including the activities of Users. If the Customer has any concerns about the login details for its Account or thinks they have been misused, please contact truval.dev at [email protected].

The Customer must take reasonable precautions to prevent any unauthorised access to, or use of, the truval.dev Service and, in the event of any such unauthorised access or use, promptly notify truval.dev.

The Customer recognises that truval.dev is always innovating and finding ways to improve the truval.dev Service with new features and services. Therefore, the Customer agrees that the truval.dev Service may change from time to time and no warranty, representation or other commitment is given in relation to the continuity of any functionality of the truval.dev Service.

The Customer shall indemnify and defend truval.dev, its agents and contractors from and against any and all losses, damages, claims, liabilities or expenses (including reasonable lawyer's fees) arising out of a claim brought by a third party relating to the Customer's use of the truval.dev Service (except to the extent caused by truval.dev's negligence).

API Usage

The Customer may access Customer Data via truval.dev's API. Abuse or excessively frequent requests to the truval.dev Service via the API may result in the temporary or permanent suspension of the Customer's access to the API.

truval.dev, in its sole discretion, will determine abuse or excessive usage of the API. truval.dev will make a reasonable attempt via email to warn the Customer prior to suspension.

Customer obligations

The Customer: (a) must comply with all applicable laws; (b) must use the truval.dev Service in accordance with this Agreement; (c) must obtain all necessary consents for truval.dev to perform its obligations; (d) must not use the truval.dev Service to transmit Malware or prepare for the distribution of unsolicited advertising ('spam'); (e) must not interfere with the truval.dev Service integrity or security.

AI Agent Usage. Where the Customer provisions an API key, MCP connection, or any other access token for use by an AI or autonomous agent, the Customer acknowledges and agrees that they are strictly liable for all actions, data submissions, API requests, and resulting fees generated by that AI acting on their behalf.

Intellectual property rights

truval.dev is the owner or the licensee of all Intellectual Property Rights in the truval.dev Service. The Customer grants truval.dev a licence to use Customer Data for the purpose of providing, testing, improving and producing anonymised statistical reports. Such use for testing and improving is limited to what is necessary to operate and enhance the Service, as further described under Data protection below. Otherwise, truval.dev claims no rights in the Customer Data.

Data protection

Each party shall comply with Data Protection Laws. If any of the Customer Data contains Relevant Personal Data, the parties will process it in accordance with the Data Processing Agreement.

truval.dev processes verification data ephemerally and does not store the content of verification requests beyond the period necessary to provide the Service, except in anonymised or aggregated form.

Price and payment

The Customer will pay the Service Fees in accordance with the truval.dev Service Plan. Fees are non-refundable except where required by law. All fees are exclusive of VAT or applicable taxes.

API Key Security and Liability. The Customer is solely responsible for the security, confidentiality, and management of their API keys, MCP connection details, and authentication tokens. The Customer agrees to pay all Service Fees and Overage Fees generated by their API keys, regardless of whether the usage was explicitly authorized by the Customer or resulted from a leaked or compromised key. This strict financial liability remains in effect until the Customer proactively revokes the compromised API key via the truval.dev dashboard.

Service levels and support

truval.dev will use commercially reasonable endeavours to ensure the truval.dev Service is available reliably. For Custom or Enterprise plans, specific service level agreements (SLAs) regarding latency and uptime may be set out in the applicable truval.dev Service Plan or in a separate written agreement between the parties. Unless and to the extent expressly set out in such an SLA, the Service is provided on an "as is" and "as available" basis without any specific uptime or latency guarantees. The Customer acknowledges that the Service may be subject to occasional interruptions, planned maintenance, or unforeseen downtime. In the event of any service interruption, truval.dev's sole obligation, and the Customer's sole and exclusive remedy (subject to any express SLA), shall be the restoration of the Service as soon as commercially practicable. Support is provided during normal business hours (Portugal time) via [email protected] or community channels.

Suspension and termination

The Customer may terminate at any time via Account settings. truval.dev may terminate for non-payment, breach of law, or infringement of Intellectual Property Rights.

Limited warranty

The truval.dev Service is provided on an "AS IS" basis. To the fullest extent permitted by law, truval.dev disclaims all implied warranties.

Liability

truval.dev's total liability in connection with the Agreement shall be limited to the fees paid by the Customer in the 6 months prior to the event giving rise to the claim or, if none, 50 euros.

Law and jurisdiction

The Agreement shall be governed by and construed in accordance with the law of Portugal and each party hereby submits to the exclusive jurisdiction of the courts of Portugal.
